PTCL Completes Acquisition of Telenor Pakistan, Paving Way for Major Merger

Pakistan Telecommunication Company Limited (PTCL) has finalised its acquisition of 100 percent of Telenor Pakistan, a landmark transaction set to significantly alter the nation’s telecommunications landscape.

According to a report on Wednesday, the deal, which also includes the purchase of Orion Towers, was formally completed on 31st December 2025, with plans to eventually merge the newly acquired mobile operator with PTCL’s existing cellular division, Ufone 4G.

Effective immediately, Telenor Pakistan and Orion Towers will operate as wholly-owned subsidiaries of PTCL. According to the announcement, Telenor Pakistan will maintain its status as a separate legal entity during an initial transition period. Following this phase, the company is slated for integration with Pak Telecom Mobile Limited (PTML), which operates as Ufone 4G, to form a single combined entity, pending regulatory consent.

The state-owned enterprise stated the consolidation is intended to create a platform with a stronger focus on customer service, wider network reach, and accelerated innovation. Future objectives for the merged organisation include expanding network capabilities, optimising spectrum resources, and delivering a broader range of digital services.

Hatem Bamatraf, President and Chief Executive Officer of PTCL and Ufone 4G, described the event as a significant milestone. ‘Our focus remains on delivering a customer-centric, seamless, and high-quality services for improvement in user experience as we bring combined strengths at scale upon completion of regulatory approvals,’ he said. Bamatraf also assured employees from both companies of a thoughtful integration process rooted in respect for talent.

In its communication, PTCL acknowledged the contribution of the previous parent company, Telenor ASA, to the development of Pakistan’s telecom sector over nearly two decades. The company positioned the acquisition as a strategic move to bolster Pakistan’s digital economy and enhance technological services for millions of consumers and businesses.
